Supplier Code of Conduct

Introduction
Scalax Group Ltd, trading as ScalaxIP (‘ScalaxIP’, ‘we’, ‘us’ or ‘our’), is committed to conducting business ethically, lawfully and with integrity, and we expect the same of those we work with. This Supplier Code of Conduct (the ‘Code’) sets out the minimum standards we require of all suppliers, service providers, contractors, agents and foreign associates who provide goods or services to or on behalf of ScalaxIP (‘Suppliers’), including their personnel, subcontractors and supply chains.
Acceptance of, and compliance with, this Code is a condition of doing business with ScalaxIP. Suppliers are responsible for ensuring that their own suppliers and subcontractors engaged in connection with our work meet equivalent standards.
Compliance with Laws
Suppliers must comply with all laws and regulations applicable to their business and to the goods and services they provide, in every jurisdiction in which they operate.
Anti-Bribery and Corruption
Suppliers must not offer, promise, give, request or accept any bribe, kickback, facilitation payment or other improper advantage, whether dealing with public officials or private parties, and must comply with the Bribery Act 2010 and all applicable anti-corruption laws. Suppliers must maintain procedures appropriate to their size and risk profile to prevent bribery by persons associated with them.
Prevention of Tax Evasion
Suppliers must not engage in tax evasion, and must not facilitate the evasion of tax by any other person, in any jurisdiction, consistent with the Criminal Finances Act 2017. Suppliers must maintain reasonable procedures to prevent the criminal facilitation of tax evasion by persons associated with them.
Sanctions and Trade Controls
Suppliers must comply with all applicable financial sanctions, trade embargoes and export control laws, including those of the United Kingdom, and must not cause ScalaxIP to breach any such measure. Suppliers must notify us immediately if they, or any party material to the services they provide to us, become subject to sanctions.
Labour and Human Rights
Suppliers must respect internationally recognised human rights and, in particular, must not use or tolerate forced, bonded, trafficked or child labour in any form, consistent with the principles of the Modern Slavery Act 2015. Suppliers must treat their workers with dignity and respect, provide safe and healthy working conditions, comply with applicable laws on wages and working hours, respect workers’ rights to freedom of association, and not discriminate unlawfully in recruitment or employment.
Confidentiality, Data Protection and Intellectual Property
Suppliers must keep confidential all information relating to ScalaxIP and its clients that they receive in the course of their engagement, use it solely for the purpose for which it was disclosed, and protect it with appropriate security measures. Suppliers processing personal data for or on behalf of ScalaxIP must comply with applicable data protection laws, including, where applicable, the UK GDPR and the Data Protection Act 2018, and with any data processing terms agreed with us. Suppliers must respect intellectual property rights, including those of our clients, and must not use or disclose client intellectual property except as required to perform their engagement.
Conflicts of Interest
Suppliers must avoid conflicts of interest in their dealings with ScalaxIP and must disclose to us, without delay, any actual or potential conflict of interest that arises in connection with their engagement, including any interest adverse to a client on whose matter they are instructed.
Gifts and Hospitality
Suppliers must not offer gifts, hospitality or entertainment to ScalaxIP personnel that could be perceived as intended to influence a business decision. Modest hospitality provided openly in the ordinary course of business is acceptable; gifts of cash or cash equivalents are never acceptable.
Environment
Suppliers should conduct their operations in an environmentally responsible manner, comply with applicable environmental laws, and seek to minimise the environmental impact of the goods and services they provide.
Monitoring, Reporting and Consequences
ScalaxIP may reasonably request information from Suppliers to verify compliance with this Code. Suppliers must report promptly to admin@scalaxip.com any breach, or suspected breach, of this Code in connection with their engagement, and no Supplier will suffer detriment for reporting a genuine concern in good faith. A material or persistent breach of this Code entitles ScalaxIP to terminate the engagement without liability, in addition to any other rights or remedies we may have.
